Trainercentric Toolkit -Effective Date: June 2025
| Please read this End User Licence Agreement carefully before downloading or using any digital product purchased from Trainercentric Toolkit. By completing your purchase and downloading the product, you confirm that you have read, understood, and agreed to be bound by the terms of this Agreement. |
1. Definitions
In this Agreement, the following terms have the meanings set out below:
- “Licensor” means Trainercentric Toolkit, the sole proprietorship operating toolkit.trainercentric.in.
- “Licensee” or “You” means the individual who has purchased and downloaded a digital product from our Site.
- “Product” means any digital file purchased from our Site, including PowerPoint templates, instructional design toolkits, game-based learning templates, and related resources.
- “Single User Licence” means a licence granted to one named individual only. It is not transferable to another person, team, or organisation.
- “End Deliverable” means a training session, workshop, or facilitated programme delivered by the Licensee to participants, in which the Product is used as a facilitation tool.
2. Grant of Licence
Subject to the terms of this Agreement and upon receipt of full payment, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, revocable, single-user licence to use the Product as set out below.
2.1 Permitted uses
- Use the Product personally to design, prepare, and deliver training sessions and workshops
- Use the Product in paid client-facing training programmes that the Licensee is contracted or employed to deliver
- Customise, edit, and adapt the Product to suit the Licensee’s specific training content, branding, and audience
- Use the adapted Product as a projected or shared screen tool during live facilitation
- Print slides from the Product for use as physical participant handouts in a training session
2.2 Single user restriction
This licence is granted to a single named user only — the individual who completed the purchase. The Product may not be shared with, transferred to, or used by any other person, including colleagues, co-facilitators, or members of the Licensee’s organisation. Each individual user must purchase their own licence.
3. Restrictions
The Licensee must not, under any circumstances:
3.1 Distribution and sharing
- Share, transfer, sell, sublicense, or otherwise distribute the Product or any adapted version to any third party
- Upload the Product to any shared drive, cloud storage, intranet, or file-sharing platform where it may be accessed by others
- Share login credentials or download links with any other individual to allow them to access the Product
- Include the Product in any template library, bundle, subscription package, or digital marketplace
3.2 Resale and commercial exploitation
- Resell the Product in its original or modified form
- Use the Product to create derivative products intended for commercial sale or distribution
- Offer the Product, or any version of it, as part of a paid or free training resource pack given to clients or participants to keep
3.3 Attribution and integrity
- Remove, alter, or obscure any copyright notices, credit lines, or attribution text embedded in the Product files
- Claim authorship or original ownership of the Product’s design, layout, or instructional structure
- Misrepresent the origin or source of the Product in any public or commercial context
3.4 Technical restrictions
- Reverse engineer, decompile, or disassemble any part of the Product
- Attempt to extract or isolate individual design elements for use outside the intended Product context
4. Client-Facing Use — Clarification
The Licensee is permitted to use the Product when delivering training to their own paying clients. However, this permission is subject to the following conditions:
- The Product is used solely as a facilitation tool by the Licensee during a live training session
- The Product files (original or edited) are not given, sent, or made available to the client or participants as a downloadable or keepable resource
- The client does not receive a copy of the Product in any form that would allow them to reuse, adapt, or deliver the training themselves without purchasing their own licence
In other words: you may train with it, but you may not hand it over. If your client wishes to use the Product independently, they must purchase their own licence from our Site.
5. Ownership
This Agreement grants the Licensee a licence to use the Product — it does not constitute a sale of the Product or a transfer of ownership. The Licensor retains full and exclusive ownership of the Product, including all intellectual property rights, at all times. The Licensee acquires no ownership rights whatsoever by virtue of this Agreement or the purchase transaction.
6. Updates and New Versions
From time to time, we may release updated or revised versions of a Product. Unless stated otherwise, such updates are not automatically included in an existing licence. Access to updated versions may require a new purchase. We will endeavour to communicate significant product updates to customers where possible.
7. Termination
This licence is effective from the date of purchase and continues until terminated. The Licensor may terminate this licence immediately and without notice if the Licensee breaches any term of this Agreement. Upon termination:
- The Licensee must immediately cease all use of the Product
- The Licensee must delete all copies of the Product from their devices and storage
- No refund will be issued upon termination resulting from a breach of this Agreement
Termination of this licence does not affect any other rights or remedies available to the Licensor under applicable law.
8. Disclaimer of Warranties
The Product is provided “as is” without warranty of any kind. The Licensor makes no warranty that the Product will meet the Licensee’s specific requirements, produce particular training outcomes, or be compatible with every version of Microsoft PowerPoint or other software. The Licensee assumes all risk associated with the use of the Product.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Licensor’s total liability to the Licensee for any claim arising out of or relating to this Agreement shall not exceed the amount paid by the Licensee for the specific Product giving rise to the claim. The Licensor shall not be liable for any indirect, consequential, incidental, or special damages of any kind.
10. Governing Law
This Agreement is governed by the laws of India. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
11. Entire Agreement
This EULA, together with the Terms & Conditions and other policies published on toolkit.trainercentric.in, constitutes the entire agreement between the Licensor and the Licensee with respect to the use of the Product and supersedes all prior understandings or agreements relating to the same subject matter.
